Terms of Service

1. Agreement

These Terms of Service apply when you access or use the Taklet website, web application, iPhone application, or Mac application, together called the "Service." If you use the Service for a company, team, or other organization, you represent that you have authority to accept these Terms for that organization.

If you do not agree to these Terms, do not use the Service.

2. The Service

Taklet is a team productivity and collaboration product. Depending on platform, role, and access, the Service can include organizations, projects, tasks, subtasks, notes, comments, status updates, reactions, check ins, trackers, calendars, pipeline placement, files, links, notifications, activity entries, and external collaboration.

Features can differ among the web, iPhone, and Mac applications. Taklet may change, replace, suspend, or discontinue a feature. Unless Taklet agrees otherwise in writing, the Service does not include a guaranteed service level or guaranteed availability.

3. Accounts and Security

  • Provide accurate account information and keep it current.
  • Protect your login credentials and devices.
  • Do not share an account in a way that defeats permissions or accountability.
  • Notify Taklet if you believe an account has been accessed without permission.
  • Use the Service only when applicable law permits you to do so.

You are responsible for actions taken through your account unless applicable law or an agreement with Taklet provides otherwise.

4. Organizations, Roles, and External Collaboration

Organization managers and other authorized users can invite or remove members, change roles, manage projects, and control access. A user may belong to one organization while collaborating on a project owned by another organization. Information shared in that project can be visible to authorized users in both organizations.

You must invite only people you are authorized to invite and give access only to content they are allowed to receive. If an organization changes or removes your access, you may lose access to content associated with that organization or project, including content you created.

5. Your Content

As between you and Taklet, you retain any rights you have in tasks, comments, notes, files, links, project information, calendar items, check ins, status updates, profile information, and other content you submit to the Service, called "Your Content."

You give Taklet a limited, worldwide, nonexclusive license to host, store, process, reproduce, transmit, display, and back up Your Content only as needed to operate, secure, maintain, and support the Service for you and authorized users. This license does not transfer ownership of Your Content to Taklet.

You are responsible for Your Content and for having the rights, permissions, notices, and consents needed to submit it and share it with the users you authorize. Do not use uploaded profile or project images for sensitive material because uploaded images are served from publicly readable storage. When no uploaded profile image is available, the web application can request an automatically generated default avatar from DiceBear as described in the Privacy Policy. Task attachments use private storage and temporary access links, but you are still responsible for choosing the users who can access the task.

6. Collaboration Records and Synchronization

Taklet can show activity entries, notification records, read state, and other collaboration history. These features are intended to help teams coordinate. They are not guaranteed to record every action on every platform and should not be treated as a complete legal, compliance, payroll, or security audit log.

The Service uses real time synchronization and device storage, including an encrypted workspace cache in the Mac application. A device may briefly show older information while it reconnects or synchronizes. Confirm important changes in the current Service state before relying on them.

7. Acceptable Use

You agree not to:

  • Break the law or violate another person's rights.
  • Submit content you do not have permission to use or disclose.
  • Harass, threaten, exploit, impersonate, or defraud another person.
  • Upload malware or content designed to damage a device, account, or service.
  • Bypass access controls or access accounts, projects, files, or systems without authorization.
  • Use the Service for spam, phishing, or unwanted communications.
  • Interfere with the Service or place an unreasonable load on it.
  • Reverse engineer, scrape, resell, or exploit the Service except where applicable law permits the activity despite this restriction or Taklet gives written permission.

8. Reports, Restrictions, and Suspension

Taklet may investigate reported misuse and may remove content, restrict access, suspend an account, or terminate access when Taklet reasonably believes that use violates these Terms, harms another person, creates legal or security risk, or threatens the Service.

9. Communications and Notifications

Taklet can send account email, invitations, support responses, in app notifications, browser notifications, reminders, and other messages connected to use of the Service. Browser notifications require browser permission. The iPhone application can send push notifications through Apple when permission is granted. Available notification preferences can be changed in the Service, browser settings, or device settings.

Messages needed for account access, security, legal notice, or operation of the Service may not have an optional setting. Delivery can fail or be delayed by a recipient system, network, device, or service provider.

Taklet uses outside providers for authentication, hosting, database and file storage, synchronization, email, web analytics, iPhone push delivery, public marketing preview images, and Mac application downloads and updates. Those providers can process information needed to perform their functions. The Privacy Policy describes current providers and data handling in more detail.

Your Content can include links to outside sites. When you ask Taklet to identify the title of a link, the Taklet server contacts that site. Taklet does not control an outside site, its content, its availability, or its terms.

11. Native Applications, Downloads, and Updates

Subject to these Terms, Taklet permits you to install and use the available iPhone and Mac applications with your account. Apple terms can also apply to the iPhone application and its distribution.

The Mac application is distributed by direct download and uses Sparkle to check a public Taklet feed for signed updates. Automatic update checks are enabled in the application configuration. You are responsible for deciding whether to install an available update and for maintaining a compatible device and network connection.

12. Account Deletion and Termination

The iPhone and Mac applications provide an account deletion request in profile settings. The web application does not currently provide a self service deletion control. Contact team@taklet.com for help.

Shared content and collaboration history may remain available to authorized organization or project members after one account is deleted or loses access. Taklet may also retain records for security, support, backup, or legal reasons as described in the Privacy Policy.

Taklet may suspend or terminate access as described in these Terms. When access ends, your permission to use the Service ends, but provisions that by their nature address retained content, ownership, disclaimers, liability, or disputes remain applicable.

13. Taklet Property

Taklet and its licensors retain their rights in the Service, including its software, design, branding, and technology. Except for the limited permission to use the Service, these Terms do not transfer a right in the Service to you. You may not copy, modify, distribute, sell, or lease the Service unless Taklet gives written permission or applicable law permits the activity despite this restriction.

14. Disclaimers

To the extent permitted by applicable law, the Service is provided "as is" and "as available." Taklet does not promise that the Service will always be uninterrupted, error free, completely secure, or free from data loss. To the extent permitted by law, Taklet disclaims implied warranties, including merchantability, fitness for a particular purpose, and noninfringement. Rights that applicable law does not allow Taklet to exclude remain in effect.

15. Limitation of Liability

To the extent permitted by applicable law, Taklet and its owners, employees, contractors, suppliers, and affiliates are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, or business opportunities arising from use of or inability to use the Service. This section does not limit liability that applicable law does not allow Taklet to limit.

16. Changes to These Terms

Taklet may update these Terms as the Service changes. The date above will identify the current version. If applicable law requires another form of notice or fresh consent for a change, Taklet will use that process before the change applies.

17. General Terms

If a provision of these Terms cannot be enforced, the remaining provisions continue to apply to the extent permitted by law. A delay in enforcing a provision is not a waiver of the right to enforce it later. These Terms and any additional written terms that expressly apply to the Service form the agreement about your use of the Service.
